1. CONTEST PERIOD

YP Dine’s Reserve and Win (the “Contest”) is held by YP Dine Solutions Limited (the “Contest Organizers”) and starts on June 22, 2017 at 12:00pm (EST) and ends on July 24, 2017 at 11:59pm (EST), subject to change upon notice from the Contest Organizers (the “Contest Period”).

2. ELIGIBILITY REQUIREMENTS

To be eligible for the Contest, the entrant (the “Entrant”) must: (A) be a Canadian citizen or legal resident of Canada residing in the province of Ontario and who has reached the age of majority; and (C) not be an employee, agent or representative of the Contest Organizers, or its parent companies or one of its affiliates or advertising or promotional agencies, the supplier of the prize(s), materials and services related to the current contest (the “Contest Parties”), as well as members of their immediate families (brothers, sisters, children, father, mother), their legal or de facto spouses and all persons with whom said employee, agent or representative is domiciled.

3. HOW TO REGISTER

3.1 NO PURCHASE NECESSARY. To register in the Contest, the Entrant has to fully complete the form on the YP Dine mobile application after making a reservation on the app. (the “Registration”).

3.2 The winner will be contacted via email and will have to provide: (i) full name, a valid email address and telephone number; and (ii) accept the terms and conditions set out in these Official Rules. To be eligible, the Registration must be received during the Contest Period. The Entrant may only win one (1) Prize.

3.3 The Entrant’s Registration will be rejected if the Registration form is not fully completed and received during the Contest Period. Use of any automated system to register for, or otherwise participate in, this Contest is prohibited and will automatically result in disqualification. The Contest Organizers reserve the right to make any enquiry about an account if in their own discretion they have reasons to believe that the Entrant is perpetrating a fraud or any attempt of cheating. The Contest Organizers reserve the right to install any additional security system as they believe may be required to maintain the fairness of the Contest during the Contest Period. The Contest Parties are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Registrations.

4. PRIZES

4.1 The Contest prize is: ONE of FIVE $100 gift cards to the Summerlicious participating restaurant of their choice. (the “Prize”). Value of the Prize is $500

4.2 The Prize (or portions thereof) is non-exchangeable, non-transferable, non-refundable, has no cash surrender value and must be accepted as awarded with no substitutions. Should the winner be unable to claim the Prize (or a portion thereof) as awarded, such winner’s right to the Prize (or portion thereof) will be forfeited and another winner will be selected.

4.3 In the event where it would be impossible, difficult and/or more costly for the Contest Organizers to award the Prize (or a portion thereof), the Contest Organizers reserve the right to substitute and/or modify the Prize (or a portion thereof) with a prize (or portion thereof) of equivalent or greater value.

4.4 The winner of the Prize acknowledges that upon awarding of the Prize, the obligations related to it become the responsibility of the providers of services and goods related to such Prize.

5. WINNERS SELECTION

On July 24, 2017 (the “Draw Date”) at the Contest Organizers’ offices located at 351 King Street East, 10th Floor, Toronto, ON M5A 0L6, the winner will be selected by a representative of the Contest Organizers. The winning Registrations will be drawn at random from among all completed Registrations. The odds of being selected will depend upon the number of completed Registrations. The Contest Organizers or their designated representative will contact the winner by email at the email address provided in the Registration and the winner will have to reply before August 24, 2017, at 12:00 PM (EST), otherwise the Contest Organizers reserve the right to select or contact another winner.

6. BEFORE BEING DECLARED A WINNER

The Prize selected Entrant will be required to sign and return within ten (10) business days of notification the Contest Organizers’ declaration and release form, which (among other things): (i) confirms compliance with these Official Rules; (ii) acknowledges acceptance of the Prize as awarded; and (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the "Released Parties") from any and all liability in connection with the Contest, the Entrant’s participation therein and/or the awarding and use/misuse of the Prize or any portion thereof. If the Prize selected Entrant fails to return the properly executed Contest Organizers’ declaration and release form within the specified time, then he/she will forfeit the Prize and the Contest Organizers reserve the right, in their sole discretion, to randomly select an alternate eligible Entrant from among the remaining Registrations.

7. GENERAL CONDITIONS

7.1 All Registrations become the property of the Contest Organizers. The Released Parties assume no responsibility for lost, delayed, incomplete, incompatible or misdirected Registrations. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Contest Organizers with respect to all aspects of the Contest are final and binding on all Entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Registrations and/or Entrants. The Contest Organizers agree to abide by any corporate policy with respect to awarding of the Prize to employees by suppliers.

7.2 The Released Parties will not be liable for any technical malfunction or other problems relating to the telephone network or lines, computer online systems, servers, access providers, computer equipment or software; for the failure of any entry to be received by the Contest Parties for any reason including, but not limited to, technical problems or traffic congestion on the internet or at any website; or any combination of the above. Further, the Released Parties will not be liable for any injury or damage to an Entrant’s or any other person’s computer related to or resulting from participating or downloading any material in the Contest.

7.3 All Registrations are subject to verification. The Contest Organizers reserve the right, in their sole discretion, to require proof of identity and/or eligibility (in a form acceptable to the Contest Organizers) to participate in this Contest. Failure to provide such proof in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid Registration in the Contest will be the Contest server machine(s).

7.4 By entering this Contest, Entrants expressly consent to the collection, use and disclosure of their personal information for the purposes of administering the Contest. By submitting a Registration, Entrants consent to the collection, use and disclosure to the public of their names, addresses (city, province/territory), voices, statements and photographs or other likenesses for publicity purposes in connection with the Contest in any media or formats including, but not limited to, the Internet, without further notice, permission or compensation. Personal information will not otherwise be used or disclosed without consent. 9. CONTEST MODIFICATION

The Contest Organizers reserve the right, at their sole discretion, to cancel, terminate, modify or suspend the Contest in whole or in part, should human intervention or an event take place that could alter or affect the administration, security, impartiality or conduct of the Contest as provided in these Official Contest Rules.

10. LANGUAGE DISCREPANCY

In the event of any discrepancy or inconsistency between the terms and conditions of the Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Contest registration form and/or point of sale, television, print or online advertising; the terms and conditions of the English Rules shall prevail, govern and control.

11. JURISDICTION
